1. ACCEPTANCE OF TERMS AND LEGAL AGREEMENT

These Terms of Service (the "Terms") constitute a legally binding agreement between Kiddicare Canada ("Kiddicare", the "Company", "we", "us", or "our") and any individual, entity, or organization accessing, browsing, registering for, participating in, or otherwise using the Website or Services (collectively, "you" or the "User").

These Terms govern access to and use of the Kiddicare Canada website, digital properties, content, promotional activities, product sampling programs, contests, giveaways, events, communications, and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

2. ELIGIBILITY AND USER REPRESENTATIONS

By accessing or using the Services, you represent, warrant, and covenant that:

(a) you have reached the age of majority in your province or territory of residence;

(b) you possess the legal capacity and authority to enter into a binding agreement;

(c) all information submitted to Kiddicare Canada is accurate, current, complete, and not misleading;

(d) you will comply with all Applicable Laws in connection with your use of the Services;

(e) you have the legal authority to provide any information submitted through the Services; and

(f) your use of the Services will not infringe the rights of any third party.

Kiddicare Canada reserves the right to refuse access to the Services where it reasonably believes any of the foregoing representations are inaccurate or have been breached.

3. NATURE OF THE WEBSITE AND SERVICES

The Website is intended solely for informational, educational, promotional, and consumer engagement purposes.

Without limitation, the Services may include:

(a) information regarding Kiddicare products;

(b) retailer and marketplace locator functionality;

(c) product sample programs;

(d) contests, giveaways, sweepstakes, and promotional activities;

(e) consumer surveys and feedback initiatives;

(f) educational resources;

(g) newsletter subscriptions;

(h) event registration and participation opportunities; and

(i) lead generation and consumer engagement activities.

Kiddicare Canada does not directly sell products through the Website and does not process consumer purchase transactions.

Products displayed on the Website are provided for informational and promotional purposes only.

4. PRODUCT INFORMATION DISCLAIMER

While Kiddicare Canada endeavors to maintain accurate and current information, the Company does not warrant that product descriptions, specifications, packaging, images, ingredients, availability, claims, or other content appearing on the Website are complete, accurate, current, or error-free.

Product packaging, ingredients, features, and specifications may change without notice.

Information contained on the Website is provided solely for general informational purposes and shall not constitute medical, healthcare, nutritional, pharmaceutical, legal, or professional advice.

Users should seek the advice of qualified healthcare professionals regarding any health-related concerns affecting infants, children, or caregivers.

Reliance upon Website content is solely at the User's own risk.

5. THIRD-PARTY RETAILERS, DISTRIBUTORS AND MARKETPLACE LINKS

The Website may contain links, references, advertisements, or other connections to third-party retailers, distributors, resellers, online marketplaces, and external websites.

When a User accesses a third-party website, the User leaves the Kiddicare Canada environment and becomes subject to the terms, conditions, policies, and privacy practices of the applicable third party.

Any purchase transaction completed through a third-party retailer shall constitute a separate transaction exclusively between the User and such third party.

Kiddicare Canada expressly disclaims any liability relating to:

(a) pricing;

(b) product availability;

(c) inventory levels;

(d) shipping and delivery;

(e) refunds, returns, or exchanges;

(f) payment processing;

(g) retailer conduct;

(h) customer service;

(i) product warranties; or

(j) any acts or omissions of third parties.

6. LEAD GENERATION, REGISTRATION FORMS AND CUSTOMER SUBMISSIONS

Kiddicare Canada may collect information through website forms, newsletter subscriptions, QR code registrations, product sample requests, event registrations, contests, promotions, surveys, social media lead forms, customer service inquiries, and related engagement channels.

By submitting information through the Services, the User represents and warrants that all information provided is accurate, current, complete, and lawfully submitted.

The User acknowledges that information submitted through the Services may be processed in accordance with the Kiddicare Canada Privacy Policy.

7. PRODUCT SAMPLE PROGRAMS

Kiddicare Canada may, from time to time, offer product sample programs, trial programs, promotional distributions, or related initiatives.

Participation in any sample program is subject to eligibility requirements, geographic restrictions, inventory availability, and additional program-specific conditions.

Submission of a sample request does not create any entitlement or guarantee that a sample will be provided.

Kiddicare Canada reserves the right, in its sole discretion, to approve, reject, modify, suspend, restrict, or terminate any sample program without liability or prior notice.

8. CONTESTS, GIVEAWAYS, SWEEPSTAKES AND PROMOTIONAL CAMPAIGNS

Kiddicare Canada may conduct contests, giveaways, sweepstakes, referral programs, loyalty campaigns, and promotional events.

Participation may require submission of Personal Information and acceptance of additional rules.

Where a promotion is governed by Official Rules, such Official Rules shall prevail to the extent of any inconsistency with these Terms.

Participation in any promotion does not constitute consent to receive Commercial Electronic Messages unless express consent is separately obtained in accordance with CASL.

Promotions are void where prohibited by Applicable Law.

9. EVENTS, ACTIVATIONS AND ROADSHOWS

Kiddicare Canada may organize, sponsor, host, or participate in trade shows, retail activations, educational events, product demonstrations, roadshows, community programs, and sampling activities.
Participation may require registration and submission of information.
Kiddicare Canada reserves the right to modify, postpone, cancel, restrict, or terminate any event without liability where circumstances warrant.

10. Photography, Video and Event Content

Kiddicare Canada may photograph, film, record, livestream, or otherwise capture images, video, audio, testimonials, interviews, and other content during Events, roadshows, retail activations, contests, giveaways, product demonstrations, sampling activities, and promotional campaigns.
Such content may be used by Kiddicare Canada for lawful business purposes, including on Kiddicare websites, social media channels, advertising campaigns, promotional materials, retail marketing materials, public relations initiatives, educational materials, event recaps, corporate communications, and other commercial purposes.
By attending or participating in an Event where notice of photography, filming, recording, or content capture has been provided, participants acknowledge that such activities may occur and that related content may be used by Kiddicare Canada in accordance with Applicable Law and the Kiddicare Canada Privacy Policy.
Where required by Applicable Law, Kiddicare Canada may obtain additional consent prior to collecting, using, or disclosing identifiable photographs, recordings, or similar content.

11. MARKETING COMMUNICATIONS AND CASL COMPLIANCE

Kiddicare Canada is committed to compliance with CASL and Applicable Law governing electronic communications.

Where required by law, Kiddicare Canada shall obtain valid express or implied consent prior to transmitting Commercial Electronic Messages.

Commercial Electronic Messages may include newsletters, promotions, educational content, event invitations, product announcements, surveys, and other marketing communications.

Users may withdraw consent at any time using the unsubscribe mechanism provided in the communication or by contacting Kiddicare Canada directly.

12. SMS, WHATSAPP AND MOBILE COMMUNICATIONS

Where appropriate consent has been obtained, Kiddicare Canada may communicate with Users through SMS, WhatsApp, and other mobile messaging services.

Message frequency may vary.

Users acknowledge that standard carrier messaging and data rates may apply.

Kiddicare Canada shall not be liable for delayed, undelivered, blocked, interrupted, or failed communications caused by telecommunications providers, internet service providers, platform providers, or events beyond its reasonable control.

13. INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, logos, trade names, graphics, designs, text, software, images, videos, layouts, databases, and other materials appearing on the Services are owned by Kiddicare Canada or its licensors and are protected by Canadian and international intellectual property laws.

No right, title, or interest in any intellectual property is transferred to the User.

Any unauthorized reproduction, distribution, modification, republication, transmission, display, exploitation, or commercial use is strictly prohibited without prior written authorization.

14. USER CONTENT, REVIEWS AND FEEDBACK

By submitting reviews, testimonials, comments, suggestions, photographs, videos, feedback, or other content, the User grants Kiddicare Canada a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, and non-exclusive license to use, reproduce, modify, publish, distribute, display, and otherwise exploit such content for lawful business purposes.

The User represents and warrants that such content does not infringe the rights of any third party and is not false, misleading, defamatory, unlawful, or otherwise objectionable.

15. PROHIBITED ACTIVITIES

Users shall not:

(a) violate Applicable Law;

(b) provide false or misleading information;

(c) impersonate another individual or entity;

(d) interfere with Website operations;

(e) upload malicious software;

(f) attempt unauthorized access;

(g) scrape, harvest, extract, or collect data;

(h) infringe intellectual property rights; or

(i) engage in fraudulent, deceptive, abusive, or unlawful conduct.

16. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS.

KIDDICARE CANADA DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIDDICARE CANADA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES.

THE AGGREGATE LIABILITY OF KIDDICARE CANADA ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE MAXIMUM AMOUNT PERMITTED BY LAW, WHICHEVER IS GREATER.

18. INDEMNIFICATION

The User agrees to indemnify, defend, and hold harmless Kiddicare Canada and its affiliates, directors, officers, employees, contractors, agents, licensors, successors, and assigns from and against any claims, losses, liabilities, damages, judgments, penalties, costs, and expenses arising from the User's use of the Services or breach of these Terms.

19. FORCE MAJEURE

Kiddicare Canada shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet failures, telecommunications disruptions, labour disputes, government actions, pandemics, civil disturbances, or other force majeure events.

20. TERMINATION

Kiddicare Canada reserves the right to suspend, restrict, or terminate access to the Services at any time and without prior notice where it reasonably believes these Terms have been violated or where required by law, security concerns, fraud prevention measures, or operational requirements.

21. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

The parties irrevocably attorn to the exclusive jurisdiction of the courts located in British Columbia, Canada.

22. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

23. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable promotional rules, constitute the entire agreement between the User and Kiddicare Canada concerning the Services.

24. AMENDMENTS

Kiddicare Canada reserves the right to amend these Terms at any time. Revised Terms shall become effective upon posting to the Website unless otherwise stated.

Continued use of the Services following such posting constitutes acceptance of the revised Terms.
